PERSISTFOLIO HISTORICAL SEC ITEM 703 REPURCHASE EVIDENCE - RELEASE-SPECIFIC RESEARCH DATA LICENSE

1. GRANT; TIER SCOPE. Subject to payment of the applicable fee, Persistfolio grants a non-exclusive, non-transferable license to use this release of the Historical SEC Item 703 Repurchase Evidence dataset ("the Data") for internal research and business purposes, limited as follows:

   (a) INDIVIDUAL / ACADEMIC TIER. Use is limited to the named purchaser (one individual), for that individual's own internal research, personal, or academic use.

   (b) BUSINESS / COMMERCIAL TIER. Use is limited to one purchasing legal entity and to that entity's employees and individual contractors working directly for it, solely for that entity's own internal purposes. This license is not automatically extended to the purchasing entity's parent companies, subsidiaries, affiliates, clients, customers, or any other legal entity. Use by any such other entity requires a separate or custom license unless expressly agreed in writing by Persistfolio.

2. RESTRICTIONS. Purchaser may not resell, redistribute, sublicense, publicly repost, or otherwise make the Data available to any third party, whether directly or indirectly, including (without limitation) by:
   - exposing the Data, or any derivative from which the Data can be reconstructed, through an API, data feed or other technical interface that is accessible to anyone other than the persons licensed under Section 1 (including any third-party, customer-facing or external commercial API or data service); an internal API or other internal technical infrastructure used solely by persons already licensed under Section 1 is not restricted by this Section;
   - offering it as a downloadable service, hosted database, or commercial data feed;
   - redistributing it through software, a customer-facing product, or any other system; or
   - using the Data to create or support a product that substantially substitutes for the Data itself.

   This restriction does not prohibit Purchaser's own derived research, charts, models, analysis, or statistics that do not reconstruct or redistribute the Data (see Section 3). Purchaser may not represent that it has obtained any rights from S&P Global, S&P Dow Jones Indices, or any other third party by virtue of this license.

3. PERMITTED USE OF DERIVED RESEARCH. Purchaser may publish research findings, analysis, charts, summary statistics, or other derived work based on the Data, provided that such publication does not enable a recipient to reconstruct or redistribute the Data itself.

4. OWNERSHIP; RESERVATION OF RIGHTS. This license grants Purchaser a right to use the Data; it does not transfer ownership of the Data product to Purchaser. Persistfolio retains all right, title, and interest in its compilation, selection, organization, structuring, documentation, identifiers, and methodology embodied in the Data, and in all other protectable elements of the Data product. Persistfolio does not claim ownership of the underlying public facts, the issuer-reported values, issuer names, SEC filings, or third-party trademarks reflected in the Data.

5. NO LIFETIME UPDATES. This license covers only this specific, dated release of the Data. Future releases are offered separately and are not included.

6. TERM; TERMINATION FOR BREACH. This license continues until terminated. Persistfolio may terminate it for Purchaser's material breach, including unauthorized redistribution or resale under Section 2, if the breach is not cured within a reasonable period after written notice where cure is commercially practicable. Upon termination, Purchaser must cease use of the Data and delete copies in its possession or control; termination does not entitle Purchaser to a refund.

7. DISCONTINUATION. Persistfolio may discontinue this product prospectively, including in response to legal, regulatory, technical, or commercial considerations. Discontinuation does not revoke a license already granted for a release already delivered.

8. NO AFFILIATION. Persistfolio is independent and is not affiliated with, sponsored by, endorsed by, or authorized by S&P Global or S&P Dow Jones Indices. S&P 500® is a trademark of S&P Dow Jones Indices LLC and/or its affiliates. This product is an independent research reconstruction and is not an official S&P dataset.

9. WARRANTY DISCLAIMER. TO THE EXTENT PERMITTED BY APPLICABLE LAW, THE DATA IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR ACCURACY. PERSISTFOLIO DOES NOT WARRANT THAT THE DATA IS COMPLETE, ERROR-FREE, OR SUITABLE FOR ANY PARTICULAR USE. NOTHING IN THIS SECTION LIMITS ANY WARRANTY OR CONSUMER PROTECTION RIGHT THAT APPLICABLE LAW DOES NOT PERMIT TO BE EXCLUDED.

10. LIMITATION OF LIABILITY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PERSISTFOLIO'S TOTAL LIABILITY ARISING FROM THIS LICENSE OR THE DATA SHALL NOT EXCEED THE AMOUNT PAID BY PURCHASER FOR THIS RELEASE. PERSISTFOLIO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES.

11. CUSTOM / ENTERPRISE LICENSE. A custom license is available on request for: use by affiliates or other legal entities beyond the purchasing entity; broader enterprise deployment; redistribution or white-label use; API or data-service use; or embedding raw or reconstructable Data into a customer-facing product. Contact Persistfolio; no blanket redistribution price is published.

12. GOVERNING LAW. This license is governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.

13. SEVERABILITY. If any provision of this license is held unenforceable, the remaining provisions remain in full force and effect, and the unenforceable provision will be reformed only to the extent necessary to make it enforceable.

14. ENTIRE AGREEMENT. This license, together with the applicable purchase confirmation, constitutes the entire agreement between Purchaser and Persistfolio regarding the Data, and supersedes any prior or contemporaneous understanding regarding its subject matter.
